Welcome to Helios by SAGEA. Please read these Terms of Use ("Terms") carefully before using Helios, including its on-premises deployments, APIs, SDKs, dashboards, and related services (collectively, the "Services"). These Terms govern your access to and use of Helios.
1. Acceptance of Terms
By accessing, deploying, integrating, or using Helios, you confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced herein.
If you use Helios on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility
You must have the legal authority and capacity to enter into these Terms. If you are using Helios on behalf of a company, institution, or government entity, you confirm that you are authorized to do so.
3. Description of Helios
Helios is an identity verification and compliance infrastructure platform developed by SAGEA for use in regulated and high-trust environments including fintech, banking, telecommunications, insurance, and enterprise onboarding workflows (SAGEA).
Helios may be deployed:
- Entirely on-premises within customer-controlled infrastructure
- Through private cloud deployments
- Through managed APIs operated by SAGEA
Deployment structure, infrastructure ownership, and retention policies may vary depending on the agreement between SAGEA and the customer.
4. Data Ownership and Processing
On-Premises Deployments
For on-premises deployments, all customer and end-user data remains entirely within the customer's infrastructure and environment.
SAGEA does not:
- collect customer biometric data
- collect KYC documents
- collect user verification sessions
- retain customer databases
- maintain remote visibility into customer environments after deployment
The customer retains full ownership, control, and responsibility over all data processed within their Helios deployment (SAGEA).
API and Managed Deployments
For customers using Helios through SAGEA-managed APIs or hosted infrastructure:
- SAGEA may collect limited anonymized operational telemetry strictly for reliability, debugging, abuse prevention, system health monitoring, and service improvement
- Such telemetry may include request timing, infrastructure metrics, error traces, API usage patterns, and non-identifiable diagnostic metadata
- SAGEA does not retain customer-submitted identity documents, biometric media, or end-user verification data beyond temporary processing requirements unless explicitly agreed otherwise in writing
- Customer and end-user data is never used to train AI models without explicit written consent
At no point does SAGEA claim ownership over customer or end-user data processed through Helios (SAGEA).
5. Customer Responsibilities
Customers are responsible for:
- ensuring lawful collection and processing of user data
- obtaining all required user consents
- complying with applicable KYC, AML, privacy, and data protection regulations
- maintaining the security of their infrastructure and credentials
- ensuring lawful use of Helios outputs and decisions
Customers must not use Helios for unlawful surveillance, discrimination, identity fraud, or activities prohibited by applicable law.
6. AI-Assisted Decisions
Helios provides automated and reasoning-assisted verification outputs. Customers acknowledge that:
- Helios outputs are probabilistic and may not be error-free
- final compliance or onboarding decisions remain the responsibility of the customer
- Helios should not be treated as the sole source of truth in high-risk regulatory decisions without appropriate human oversight
7. Intellectual Property
All software, models, APIs, SDKs, interfaces, documentation, trademarks, and related intellectual property associated with Helios remain the property of SAGEA or its licensors.
Customers are granted a limited, non-exclusive, non-transferable license to use Helios in accordance with their agreement with SAGEA.
No rights are granted to reverse engineer, redistribute, sublicense, or commercially resell Helios unless explicitly authorized in writing.
8. Security
SAGEA implements commercially reasonable technical and organizational safeguards designed to protect Helios infrastructure and systems (SAGEA).
However, customers acknowledge that:
- no system can guarantee absolute security
- customers remain responsible for securing their own infrastructure, integrations, and access controls
- SAGEA is not responsible for breaches caused by customer misconfiguration, negligence, or third-party compromise
9. Service Availability
SAGEA may modify, suspend, or discontinue portions of Helios at any time.
Hosted and API-based deployments may occasionally experience downtime, maintenance windows, or infrastructure interruptions.
SAGEA does not guarantee uninterrupted or error-free operation unless otherwise specified in a separate enterprise agreement or SLA.
10. Confidentiality
Both parties agree to protect confidential information disclosed during the course of deployment, integration, support, or commercial engagement.
Confidential information includes technical architecture, security practices, pricing, deployment configurations, customer records, and non-public documentation.
11. Limitation of Liability
To the fullest extent permitted by law, SAGEA shall not be liable for:
- indirect or consequential damages
- regulatory penalties caused by customer misuse
- loss of revenue, profits, or goodwill
- data loss caused by customer-controlled infrastructure
- onboarding or compliance decisions made by customers using Helios
SAGEA's aggregate liability under these Terms shall not exceed the amount paid by the customer to SAGEA for the Services during the twelve months preceding the claim.
12. Termination
SAGEA may suspend or terminate access to Helios if:
- these Terms are violated
- the Services are used unlawfully
- payment obligations are not met
- continued access creates legal, security, or operational risk
Upon termination, all rights granted under these Terms immediately cease.
13. Modifications to the Terms
SAGEA may update these Terms from time to time. Updated Terms become effective upon posting.
Continued use of Helios after changes are published constitutes acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Nepal, without regard to conflict of law principles.
